What gadget can you create that you have always wanted to have for Windows SideShow-compatible devices powered by NVIDIA Preface? Enter your designs now in the first contest of its kind. Finalists (as described below) will be given a roundtrip ticket to attend NVIDIA’s “NVISION” event, August 25th – 27th in San Jose, California. The Winner (as described below) will receive a DELL XPS 420 system, and have their gadget featured on the front page of NVIDIA’s NZONE, NVIDIA’s newsletter, and the Windows SideShow section of Microsoft’s Windows Live Gallery.

Official Rules

By entering this Contest, you agree to be bound by these Official Rules and to comply with all federal, state, and local laws and regulations.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER THIS CONTEST. THIS CONTEST IS VOID WHERE RESTRICTED OR PROHIBITED BY LAW. OPEN TO LEGAL RESIDENTS OF THE UNITED STATES OF AMERICA (EXCLUDING PUERTO RICO AND ITS OTHER TERRITORIES AND POSSESSIONS).

1. Sponsor
This Contest is sponsored by NVIDIA CORPORATION, with an address at 2701 San Tomas Expressway, Santa Clara, CA 95050, U.S.A. (hereinafter “NVIDIA”) and Microsoft Corporation, with an address at 1 Microsoft Way, Redmond, WA 98052, USA (hereinafter “Microsoft”).

2. Eligibility
You must be 18 or older to be eligible to participate in this Contest. This Contest is open to individuals, but not to corporate or institutional entries. Employees of NVIDIA or Microsoft and their affiliates, and/or their respective contractors, service providers, and/or professional advisors connected with this Contest, as well as members of their immediate families and/or households, are not eligible to enter.

3. The Challenge
This Contest involves one challenge: creating the ultimate gadget for Windows SideShow capable of working with NVIDIA’s Preface technology. Gadgets are mini-applications that connect an application, or data source such as a website, to the Windows SideShow APIs. These gadgets send application data in an XML format. The gadget you create must support either the Simple Content Format (SCF) or iCalendar data format, and can be written in C++, C#, Visual Basic, other .NET programming languages, or JScript (as a combined Sidebar/SideShow-enabled gadget).

4. Designated and Permitted Tools; Use of Third-Party Software
Your gadget must be created using the following designated tools (hereinafter collectively the “Designated Tools”):

· Windows Vista Home Premium, Windows Vista Business, Windows Vista Enterprise, or Windows Vista Ultimate

In addition, you may (but are not required to) use the following (hereinafter collectively the “Permitted Tools”):

§ Windows Installer XML (for building setup packages)
§ Microsoft Visual Studio
§ Microsoft Windows SDK
§ Microsoft Windows SideShow Managed Runtime 1.0 and Microsoft Windows SideShow Managed API 1.0 SDK

With respect to the Designated Tools and Permitted Tools that you download for this Contest, you agree to accept and abide by all license terms associated with such tools.

IMPORTANT: We will not accept any entries containing, using or requiring the use of any commercial software or any software that is not included in this Section 4 (the Designated Tools and Permitted Tools) or provided as open source or under a GNU General Public License (hereinafter “GPL”) or a GNU Lesser General Public License (hereinafter “LGPL”), and all such entries will be deemed VOID and automatically be disqualified. In addition, to the extent your gadget depends on third-party software or tools other than the Designated Tools and Permitted Tools specified above, you must identify all such third-party software and tools in your entry, including exact version information and download URLs. Failure to do so will automatically disqualify your entry. However, Gadget entries created to enhance another application will not be disqualified under this Section 4 provided that such entries do not violate the End-User License Agreement of the application such entry is designed to enhance.

5. Prize; Odds of Winning The prizes for this Contest are as follows: four (4) finalists (the “Finalists”) will be flown to NVIDIA’s NVISION event, given three (3) nights standard hotel accommodations and be given $100 per diem for each day of the event, ARV: US$ [1649.00 each]. One (1) grand prize winner (the “Winner”) chosen from the Finalists will receive a Dell XPS 420 system ARV: US$ [1199.00], and the winning gadget will be hosted and promoted on NZONE.com and NVIDIA.com (hereinafter the “Prizes”). Odds of winning will depend entirely on each entry’s performance as determined in accordance with Section 8 (Judging) of these Official Rules. The Prizes are not assignable or transferable, and are not redeemable, exchangeable or substitutable for cash. NVIDIA reserves the right to substitute the Prizes with any article or service of similar or greater value at its sole discretion.

Actual value depends on date/time/destination, and difference between actual value and stated value will not be awarded. Finalist will be required to execute a Liability/Publicity Release prior to issuance of travel documents. Travel subject to availability and must be completed on dates specified by the Sponsor or prize will be forfeited and awarded to an alternate Finalist. Some restrictions may apply. No cancellation of reservation or transfer of reservation to another date after reservation has been made. If the Finalist lives within 100 miles of the event location, Sponsor reserve the right to substitute an alternate means of transportation for air travel.

6. Entry Period
The entry period for this Contest begins at 12:01 a.m. PDT (Pacific Daylight Time) on June 2, 2008 and ends at 11:59 p.m. PDT (Pacific Daylight Time) on July 18, 2008 (hereinafter the “Entry Period”). It is each entrant’s responsibility to observe time zone differences.

7. How to Enter
To enter this Contest, you must submit your gadget in a 5 step process during the entry period, outlined as follows:

1. Secure a Windows Live ID if you do not yet have one (Windows Live ID can can also be your MSN Messenger, Passport or MSN Hotmail account name);
2. Go to Windows Live Gallery at http://gallery.live.com/default.aspx?pl=7 and click on “Submit a Gadget” on the navigation on the left-hand side of the screen;
3. Following the directions on submission process provided, ensuring your gadget is submitted as a “SideShow gadget”; and
4. Go to http://www.nzone.com/object/nzone_prefacecontest_form.html and provide the required information

§ Your full name
§ The year you were born
§ Your Windows Live ID
§ Your phone number
§ Your mailing address
§ Name of the gadget you submitted at the Windows Live Gallery

Your entry must be uploaded to the Windows Live Gallery and also received by NVIDIA within the Entry Period, or it will be deemed VOID. You acknowledge that by uploading your entry to Windows Live Gallery, you will be required to consent to the Windows Live Gallery requirements for submitting content, which grants Microsoft certain licenses, including the right to distribute your gadget on the Windows Live Gallery website.

Limited to one entry per individual. Multiple entries made by the same individual or from the same email address, or entries made through the use of any other device or means to enter multiple times, will be deemed VOID and automatically be disqualified.

An entry must be submitted from a valid email account. In the event of a dispute concerning who submitted an entry, the entry will be deemed to have been submitted by the authorized holder of the e-mail account from which the entry was made. The “authorized account holder” is the natural person to whom an email address is assigned by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) responsible for assigning email addresses for the domain associated with the submitted email address.

All entries will be deemed public and non-confidential. Any entry made on a confidential basis will be deemed VOID and automatically be disqualified.

We recommend that you keep a complete copy of your submission for your own record.

8. Judging
The winning entry will be selected by a panel of judges from NVIDIA, Microsoft and Dell (hereinafter the “Judges”). The Judges will measure and compare the features and functionality of each entry by awarding points on a 5 point scale for each of the following criteria (hereinafter the “Contest Criteria”):

- Usefulness
- Functionality
- Aesthetics
- Creativity

The entry with the highest score out of 20 points (determined using the methodology described above) wins. The Judges shall have the sole authority and discretion to select the winning entry, and all decisions of the Judges shall be FINAL. By entering this Contest, you agree to be bound by the decisions of the Judges.

9. Winner Announcement; Award of Prize
The Finalists will be announced at www.nvidia.com/preface on NVIDIA’s website on or about July 22 2008. Following the announcement, the Finalists will be notified via an e-mail sent to the email address provided with the entry.
Each Finalist has seven (7) days from the date of the email notice to claim the prize by: (a) confirming receipt of such notice by return email (to be valid the confirmation must be sent from the email address to which the notice was sent); and (b) returning a signed winner affidavit and release form, together with such other requisite documentation (if any) listed in the notice, using NVIDIA’s provided self-addressed, postage prepaid envelop. Within five (5) days upon NVIDIA’s receipt of the signed Finalist affidavit and release form(s) and all other requisite documentation, the Finalist prizes will be sent via certified and insured mail, at NVIDIA’s expense, to the respective Finalist’s mailing address specified in his/her entry.
The Winner will be announced at the NVISION event on or about August 27, 2008. Following the announcement, the grand prize will be sent via certified and insured mail, at NVIDIA’s expense, to the Winner’s mailing address specified in his/her entry.

IMPORTANT: If a Finalist cannot be contacted, fails to claim a prize, or fails to return the requisite documentation, or if a prize is returned as undeliverable, or if a Finalist/Winner fails to comply with any of the provisions of these Official Rules, such Finalist’s or Winner’s prize will be considered forfeited and will be awarded to an alternate Finalist or Winner (as the case may be) selected by NVIDIA in its discretion.

10. Taxes
Federal, state and local taxes relating to the Prizes are the sole responsibility of the Finalist and/or Winner. NVIDIA reserves the right to withhold and deduct taxes from the Prizes if and to the extent required by law.

12. Disclaimers
NVIDIA and Microsoft and their affiliates, and their respective contractors, service providers, and/or professional advisors connected with this Contest (hereinafter collectively “Sponsor Related Parties”) shall not be responsible or liable for: (a) any late, lost, stolen, forged, mutilated, corrupted, incomplete, illegible or misdirected entries; (b) any error, omission or misidentification in an entry; (c) any dispute or claim arising from any individual’s participation in this Contest or receipt of the Prizes in this Contest; (d) any computer hardware, software, Internet, cable, phone, or other technical errors, failures, malfunctions, interruptions, or delays; and/or (e) any injury or damage to an entrant’s or any other person’s computer hardware, software or data related to or resulting from participation or accessing or downloading any files, tools or materials in this Contest.

13. Reservation of Rights by NVIDIA
NVIDIA reserves the right to terminate, cancel, modify or suspend this Contest, in whole or in part, if fraud, technical failures or any other factor beyond NVIDIA's r easonable control impairs the integrity of this Contest as determined by NVIDIA in its sole discretion. If this Contest or any web site associated therewith (or any portion thereof) becomes corrupted or otherwise does not permit entry, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in NVIDIA’s sole opinion, corrupt or affect the administration, security, fairness, integrity, or proper operation of this Contest, NVIDIA reserves the right, at its sole discretion, to disqualify any individual implicated in such action, and/or to cancel, terminate, cancel, modify or suspend this Contest, in whole or in part. Any attempt by an entrant or any other individual to deliberately damage any online service or web site or undermine the legitimate operation of this Contest is a violation of criminal and civil laws, and should such an attempt be made NVIDIA reserves the right to seek damages and/or other remedies from any such person to the fullest extent permitted by law.

14. Representations and Warranties by Entrant
As a condition for entering this Contest, each entrant hereby represents and warrants that: (a) the entry submitted is the result of his/her own independent creation and contains no third-party works of authorship that have been used or copied without authorization or permission of their respective authors; and (b) the entry submitted does not contain, use or require the use of any commercial software (unless the entry is designed to enhance that commercial software and the entry complies with the EULA for such commercial software) that is not included in Section 4 (the Designated Tools and Permitted Tools) or any software that is NOT provided as open source or under a GPL or LGPL. Each entrant hereby agrees to indemnify, defend, and hold Sponsors and Sponsor Related Parties harmless from any third-party claims arising from a breach of any of the foregoing representations and warranties or from any negligent or willful act or omission by such entrant.

15. Acknowledgments and Consents by Entrant
Each entrant hereby agrees and acknowledges that, with respect to his/her entry (including, but not limited to, all source code, modules, algorithms, data, files, and libraries associated therewith), NVIDIA shall have, on a royalty-free basis, all of those rights under the GPL or LGPL (as the case may be) as automatically granted to downstream recipients, including, but not limited to, the rights to freely run, use, copy, distribute and modify, subject only to the applicable restrictions set forth in the GPL or LGPL (as the case may be).
Further, by entering this Contest, each entrant expressly consents to NVIDIA's collection, processing and use of personal information contained in his/her entry for all purposes related to this Contest (including, but not limited to, sharing of such personal information with Sponsor Related Parties as necessary for their performance of services in connection with this Contest, contacting and awarding the Prizes to the winners, and making public announcements of the winner’s name and city/state of residence), as well as such other uses by NVIDIA in compliance with the terms of NVIDIA’s privacy policy located at http://www.nvidia.com/object/privacy_policy.html.

16. Governing Law; Jurisdiction
These Official Rules are governed by the laws of the State of California, United States of America, without giving effect to its conflicts of law rules. Entrants submit themselves to the exclusive jurisdiction of the state and federal courts sitting in Santa Clara, California, U.S.A.
